独立董事制度起源于英美国家 ,近年来 ,我国也逐渐引入这一制度 ,试图解决上市公司治理问题。但这一制度究竟在我国适用与否 ,本文试从独立董事制度引入的背景和实施成本 ,这一制度在国外实践的情况和在我国现有的法律政策框架下的作用 ,以及具体制度设计中的问题等四个方面提出质疑。 Independent director system originated in Anglo-American countries.
